So, how do you get started? It’s simple! The first step towards online company registration in Pakistan is to register yourself on the SECP’s e-services portal. This is a quick and easy process that will only take a few minutes of your time.

Once you’ve registered, you’ll have access to a range of services offered by the SECP. But, for now, let’s focus on online company registration.

On the User registration page, you’ll be presented with three options. Simply click on the link that applies to you and you’re on your way! It’s as easy as that.

Signup Process for Online Company Registration

Online user registration form

Here you will fill all the required fields with the relevant information like

CNIC,

Card ( CNIC) Expiry Date,

Card (CNIC) issuance date,

Password and confirmation,

Full Name,

Father/Spouse Name,

Date of Birth,

Current Address,

Mobile number (by choosing your service network from the dropdown list) and entering your number and

Email.

And then Click Signup Button.

The system will verify your mobile number and then send verification codes to your given email and mobile number. You will be moved to the next screen where you will have to enter the codes in respective spaces (see below).

Security code verification

You will check the terms & conditions box and click “Verify Security Codes”. If you entered the correct codes you will be prompted for successful registration.

Application for Online Company Registration in Pakistan

Now that you’ve registered on the SECP’s e-services portal, it’s time to file your application for online company registration. And the best part? You have two options to choose from!

Option one is to file a combined application for name reservation and online company registration/incorporation. This is a great choice if you want a fast and hassle-free online registration process. All you need is your identity documents and some basic information about the nature, size, and structure of your company.

But what kind of company can you register with using this option? Well, you have three options to choose from: a Single Member Company, a Private Limited Company, or a Public Limited Company. Just select your preferred option from the “Company Kind” drop-down list on the application form (see 1. in the picture below) and you’re good to go!

Option two is to first apply for a name reservation and then file your online company registration application. This is a great choice if you’re not ready to register your company, yet you want to reserve the name so that you don’t miss that later. Once your name is reserved, you can then proceed with the online registration process within 60 days.

Both of these processes are valid for online company registration in Pakistan, so it’s up to you to choose the option that best suits your needs.

Name of the Proposed Company

When filling out the combined application for online company registration, you’ll need to provide three suggested names for your proposed company in order of priority. Make sure that the names you suggest correspond to the proposed business of your company. For example, if you’re registering a company in the real estate sector, your proposed name should contain words like “developer”, “marketing”, or “construction” as may be applicable. You’ll find these options in the drop-down list and you can choose the most suitable category for your company.

But before you finalize your proposed name, there are a few things you need to consider to make sure it’s not rejected. First, make sure that the name is not already taken by another company. You can check this by doing a quick search on the SECP’s website.

Next, you need to make sure that the name is not similar to the name of any other registered company or trademark. This can lead to confusion and legal issues down the line.

Once you’ve decided on your proposed name, you’ll need to mention the significance and/or meaning behind it. For example, if you’re using your name as the company name, make sure to mention that. If you’re using a combination of words like “Fintech” to combine finance and technology, mention that too.

After that, you’ll need to choose the company category and sub-category from the drop-down list (see 2 in the picture above). This will help the SECP to classify your company correctly and ensure that you’re complying with all the necessary regulations.

Payment Details for Online Company Registration

The next field is the “payment details”. In this you will have three options (see 3. in the picture below):

  1. Bank ChallanIf you choose this option, you will select the bank and the branch nearest to your place.
  2. Credit Card

You can select this option if you want to make payment of the fees through a debit or credit card.

  1. ADC Payment

ADC payment method gives you the option to pay through mobile banking channels by generating a PSID.

Either of the three options will be available after the submission of your online company registration application.

Selection of Articles of Association

The company has two main documents; a Memorandum of Association and Articles of Association. When you choose a category and sub-category for the Principal line of business for your company, the system auto-populates that Memorandum and relevant clauses. However, for Articles, you will have to choose the (see 4 in the picture above):

Part-I of Table A for a Private or a Public Limited Company; and

Part II of Table A for a Single Member Company.

Company Information

Now that you’ve selected a suitable name for your company, the next step in the online company registration process is to fill in the company information. First, you’ll need to choose whether you want to use the registered office address or the correspondence address. The registered office address is the physical address of your company where official correspondence can be made.

If you don’t have a physical address at the time of filing your online company registration application in Pakistan, or you haven’t yet decided on a location for your registered office, you can select the correspondence address option. However, keep in mind that you’ll need to acquire a physical place for your company and inform the registrar by filing Form 21 within 15 days of incorporation.

Once you’ve selected the appropriate option for your address, you’ll need to fill in all the required information, such as street, area, city, district, province, etc., and contact details. You’ll also need to indicate if any other company is a shareholder of your proposed company (Holding company).

Make sure to provide accurate and up-to-date information, as this will be used to register your company with the SECP. Structure of Your Company

Now your next step will be to provide information about the structure of your company and information about the subscribers, directors, and CEO.

Capital Structure

In this part, you will provide information about the capital of the company and how you want to structure it (See 6. in the picture below). You will choose the kind and class of shares (usually “ordinary” in the beginning). Next, you will mention the value per share and the total number of shares of authorized capital. You may be wondering what this “Authorized Capital” is. It’s the total amount for which a company can issue shares, in contrast with the “Paid-up Capital” which shows the number of shares issued to shareholders.

As a prudent approach, you should keep your “Authorized Capital” on the higher side than the “Paid up Capital”. This will allow you to inject further capital into the company when needed, without incurring extra costs.

Once you enter the per-share value and the number of shares, the system will populate the value of the Authorized Capital in Pak rupees.

Structure of the company

Details of Subscribers, directors and CEO

After structuring the capital of the company, the next step is to provide information about the subscribers, directors, and CEO of the proposed company.

Subscribers are the people who sign the memorandum and articles for registration of the company. Directors on the other hand are the persons, from amongst the subscribers, who will be responsible for the overall management of the company. The CEO will be responsible for the management of the day-to-day affairs of the company. He may or may not be a subscriber and director. This means you can appoint any person to act as CEO of your company. You will enter all the details about the subscribers, directors, and CEO.

If a company is a subscriber, you will have to mention that otherwise, you can leave that field empty (see 7. in the above picture).
